These Terms & Conditions (“Terms”) govern your access to and use of latticestrategy.co (the “Site”), operated by Lattice Strategy, LLC (“Lattice,” “we,” “us,” or “our”). By accessing or using the Site, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Site.

1. Eligibility

Lattice provides advisory services under separate written engagement agreements; nothing on the Site creates an advisory, fiduciary, or agency relationship. Any descriptions of services, outcomes, or strategies are illustrative and forward-looking. Results depend on facts and circumstances specific to each matter, and we do not warrant or guarantee any particular result, recovery, or outcome.

5. Intellectual property and trademarks

The Site and its content, including text, graphics, layouts, logos, and the Lattice name and mark, are owned by or licensed to Lattice and are protected by intellectual property and other laws. All rights not expressly granted are reserved. You may not use our trademarks without our prior written consent.

6. Inquiries and submissions

Information you submit through the Site is handled with discretion as described in our Privacy Policy. Submitting an inquiry does not, by itself, create a confidential, advisory, or fiduciary relationship; such obligations arise only under a signed engagement agreement. Do not submit information you consider highly sensitive through the Site’s forms.

8. Disclaimers

The Site is provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. 9. Limitation of liability

To the fullest extent permitted by law, in no event will Lattice or its members, officers, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of, or inability to use, the Site, regardless of the theory of liability. Our aggregate liability for any claim relating to the Site will not exceed one hundred U.S. dollars (US$100).

10. Indemnification

You agree to indemnify, defend, and hold harmless Lattice and its members, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Site or your violation of these Terms or applicable law.

11. Governing law and jurisdiction

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Subject to the dispute-resolution provisions below, you agree to the exclusive jurisdiction and venue of the state and federal courts located in Delaware.

12. Dispute resolution; arbitration and class-action waiver

Any dispute arising out of or relating to these Terms or the Site will be resolved by binding individual arbitration administered under the rules of a recognized arbitration body, rather than in court, except that either party may bring an individual claim in small-claims court. You and Lattice waive any right to a jury trial and to participate in a class or representative action. You may opt out of arbitration by notifying us in writing within 30 days of first accepting these Terms.

13. Electronic communications

By using the Site or contacting us electronically, you consent to receive communications from us electronically, and you agree that electronic communications satisfy any legal requirement that such communications be in writing.

14. Termination

We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including violation of these Terms. Sections that by their nature should survive termination will survive.

15. Changes to the Site and Terms

We may modify or discontinue the Site at any time. We may also revise these Terms from time to time; changes are effective when posted with an updated “Last updated” date. Your continued use of the Site after changes take effect constitutes acceptance of the revised Terms.

16. Miscellaneous

If any provision of these Terms is held unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our consent; we may assign them freely. Neither party is liable for delays or failures caused by events beyond its reasonable control. These Terms, together with the Privacy Policy and any engagement agreement, constitute the entire agreement between you and Lattice regarding the Site.
